By submitting content, you grant Noctyq a limited, temporary, royalty-free license to process and transmit your content solely as necessary to provide the Service. This license terminates when your content is deleted or your account is closed. We do not claim ownership of your submitted content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Noctyq and its operators from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service in violation of these Terms, your violation of any applicable law, your violation of any third party's rights, or any academic or disciplinary consequences resulting from your use of the Service.
Noctyq shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, power outages, internet disruptions, third-party service failures, cyberattacks, government actions, pandemics, or AI provider outages. In such events, our obligations are suspended for the duration of the force majeure event.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue.
Before initiating any legal action, you agree to first contact us at noctyq@noctyq.com and attempt to resolve the dispute informally for a period of 30 days.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason including violation of these Terms, abuse of the free credit system, fraudulent activity, or chargebacks. Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon termination due to Terms violations and will not be refunded. You may terminate your account at any time by contacting noctyq@noctyq.com.
The following sections shall survive termination of these Terms and your account: Sections 3 (Academic Integrity Disclaimer), 5 (No Guarantee of Outcomes), 12 (Intellectual Property), 13 (User Content), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 18 (Governing Law), and 20 (Survival).
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree with updated Terms, you must discontinue use of the Service.
